TND Legal is honored to have thoroughly assisted a seller, which is a Vietnamese group producing dentures for export, in a complicated M&A deal which is structured in the two phases: the sale 35% shares for cashing out then swap of the remaining 65% shares to a Singapore investor, with estimated valuation in total more than USD23 million.
Led by Mr. Du Nguyen, our Of Counsel, in this deal, our team has thoroughly assisted in deal structure, review and negotiation of transactional documents, performance of licensing procedures for both conditions precedent (CPs) and conditions subsequent (CSs) and deal closing. The deal was successfully closed for phase I in very tight deadline and we’re conducting relevant works for phase II.
